The Directors of the Company wish to inform that the Company has incorporated a company under the Offshore Companies Act 1990 in the Federal Territory of Labuan, Malaysia with the name TC Capital Resources (Labuan) Pty Ltd ["TCCR (Labuan)"] on 27 January 2006 to cater for the Group’s future business expansion needs.
TCCR (Labuan) has an authorized capital of USD10,000/- made up of 10,000 ordinary shares of USD1/- each and an issued and paid-up capital of USD1/-. It is a wholly-owned subsidiary of Tan Chong Motor Holdings Berhad.
The above formation has no material effect on the earnings and net tangible assets of the Group for the financial year ending 31 December 2006.
None of the directors and substantial shareholders of the Company has an interest, direct or indirect, in the above formation of company.
