The Board of Directors of TCMH wishes to announce that the Company intends to seek its shareholders' approval for the following at a forthcoming Extraordinary General Meeting to be convened:-(i) a shareholders' mandate in respect of recurrent related party transactions of a revenue or trading nature which are in the ordinary course of business and necessary for the day to day operations of the Company and its subsidiaries pursuant to Part E, Paragraph 10.09 of the Listing Requirements of the Kuala Lumpur Stock Exchange ("Proposed Shareholders' Mandate");
(ii) the amendments to the Articles of Association of the Company ("Articles") to render the Articles consistent with the Listing Requirements of Kuala Lumpur Stock Exchange ("Proposed Amendments"); and
(iii) the authority to the Directors of the Company to allot and issue ordinary shares up to an aggregate amount not exceeding 10% of the issued share capital of the Company for such purposes as the Directors consider would be in the interest of the Company pursuant to Section 132D of the Companies Act, 1965 ("Proposed Grant of Authority").
The circular to shareholders, setting out the details of the Proposed Shareholders' Mandate, Proposed Amendments, and Proposed Grant of Authority will be sent to the shareholders of the Company in due course.
